Business Counsel - Mr. Umbaugh acts as general outside counsel for our business law clients, providing legal advice regarding all business matters. We handle the purchase or sale of existing businesses, commercial transactions, contract negotiation and drafting, lease agreements, litigation, and partnership agreements. We also help companies systematically maintain the necessary corporate record book entries to preserve the corporate liability shield.

Exit Planning - Mr. Umbaugh emphasizes the art of exit planning in his practice, guiding business owners through the creation and implementation of a long term roadmap that eventually culminates in the owner exiting the business. In this practice, Mr. Umbaugh helps his clients maximize the net sale proceeds with a strategic sale to either inside employees, family members, or an outside third party buyer. Effective business succession planning incorporates careful tax planning, the development of business value through loyalty of key employees, and the coordination of other professionals, such as a CPA, a business appraiser, and a financial planner. Mr. Umbaugh is an active member of Business Enterprise Institute, the leading national organization providing exit planning expertise.

Estate Planning - We frequently help our clients plan for the protection of their property and the prosperity of their loved ones. We will work with you to design an estate plan that addresses your specific needs and goals. Planning for Children with Disabilities - For parents, caring for and providing for the needs of disabled children can be a daunting task. We are experienced in planning for the care of disabled children, so that they are taken care of once their parents are no longer able to do so. This area of law is fraught with technical pitfalls; the unintentional disqualification of a child for Medicaid or other benefits is far too common.

Post Death Administration - Loss of a loved one is often complicated by the legal and financial steps that must be taken to administer an estate. Post death administration involves probate of the will or the settlement (closing) of a trust, an inventory of assets and liabilities, management of accounts, transfers of securities, liquidation or transfer of real estate, consolidation of assets, establishment of trusts, and preparation of state and federal tax returns to address income, estate, inheritance or generation-skipping tax reporting requirements. We handle all of these matters.

Probate Litigation - We represent clients involved in probate litigation, including those challenging the validity of a will and those fighting a will challenge.

Real Estate - We represent buyers and sellers in both commercial and residential real estate transactions. We prepare and review contracts for the purchase and sale of real estate, resolve title issues, and handle conveyances.

For Sale By Owner - We represent sellers who are interested in selling property without using the services of a real estate agent or broker. We have extensive experience helping clients navigate the complex issues surrounding FSBO transactions, and can guide clients through the contract and closing procedures.

Estate & Income Tax Law - We assist clients with such issues as federal and state estate tax planning. We help clients to reduce or eliminate all estate and inheritance taxes, as well as income taxes, which can occur at death. This area of law is undergoing radical change, and requires an up-to-date focus.

Family Law (Domestic Relations) - We represent clients who are truly in need of divorce and child custody representation (not merely making a lifestyle choice). These matters require a clear-headed financial analysis to secure an equitable result, using only as much aggressive legal posturing as is necessary to ascertain the underlying facts and communicate them clearly to the court. We look to settle differences fairly, and proceed to court only when necessary. In addition to divorce, we handle other family law matters, such as child support, spousal support (alimony), property division, asset distribution, custody, shared parenting agreements, visitation matters, and adoption.
