Business Formation
We help our clients select the type of organizational entity under which to operate. The choices are many: LLC, sub-chapter S corporation, sub-chapter C corporation, partnership (general or limited), family limited partnership, professional organization, not-for-profit, etc. Each entity form has substantial benefits and detriments; we guide our client to the wisest choice.
Day -To-Day Business Needs
We draft agreements and contracts, documents for the sale or purchase of businesses (merger and acquisition), offer advice with regard to financing and funding for business operations, matters related to employee relations, and business dissolution.
Corporate Documentation
We provide our clients with ongoing legal documentation of the operations of the corporation by the creation of appropriate corporate record book entries: minutes of shareholders and directors, stock ledger and journal entries, etc. We call or meet with our clients at least annually to ascertain their present circumstances, oversee appropriate directors and shareholders meetings, and then generate customized business records. If your company is not generating the required reports, there is a risk that the corporate veil may be pierced, thereby exposing the business owner's personal assets to the claims of creditors of the company, or the loss of intended tax benefits.
